Do you need an Apostille on a Certificate of Good Standing?

If you are planning to expand your business to another country, you will be required to prove that your company is in good standing with the State of California.  In California, the Articles of Incorporation can be used to demonstrate that you have an active and valid business in the State of California.

The California Secretary of State has a website where you can search for active corporations in the State of California.  Some companies have printed-out the information in addition to the Articles of Incorporation.

In order to have an apostille attached to your Articles of Incorporation, you will need to mail-in a certified copy stamped by the California Secretary of State.  The State will typically stamp the back of the certificate with a blue/purple seal which will include the signature of the Secretary of State.

Black and white copies or not acceptable and will be rejected by the State.  The best method to obtain new certified copies is to contact the California Secretary of State’s office for assistants.  You may be able to order new certified copies online have it delivered to you quickly.  There are also service companies located in Sacramento that can help expedite the process.

California Articles of Incorporation Apostille

Do you need an Apostille on your California Articles of Incorporation?

In order for your document to receive an Apostille from the California Secretary of State, it either needs to be an original (red seal) or a certified copy (purple seal) stamped by the California Secretary of State.

The red seal is placed on the front of the original Articles of Incorporation document you received when forming your Corporation.  This needs to be the original and not a color copy of the original.  If you are unable to find the original, you’ll need to contact the California Secretary of State to order a new one.

You can also request a certified copy of the original.  This document will have a purple stamp that will appear on the back of the final page of the document in the lower right-hand corner. The stamp will contain the date the document was certified, the signature of the California Secretary of State, and the California State Seal. Within the area of the stamp will be the handwritten number of pages being certified and the initials of the deputy certifying the document (*Note: In certain situations, the California Secretary of State my attach a letterhead instead of the purple seal).

From experience, it doesn’t matter if the document contains the red seal or the purple seal, as long as it’s an original or a certified copy, the California Secretary of State will attach an Apostille.

California Apostille for Articles of Incorporation

Do you need a California Apostille for your California Articles of Incorporation?

There are several ways we can obtain a California Apostille for your Articles of Incorporation.  If you have the certified original signed by the California Secretary of State (Red Seal), simply send us the original with our order form for same-day processing.

If you have a copy, we can email you a form called the” California Copy Certification by Document Custodian” so you can meet with a local notary who will fill-in this form and attach it to the copy of the California Articles of Incorporation.

If you don’t have the form, you’ll need to contact the California Secretary of State and request a certified copy.  A fee is associated with this request so be sure you send-in the correct amount to avoid any delays.

If you are located in Los Angeles, we provide additional complimentary services at no additional cost.  These services include notarization (If required) and pick-up service.

Once your documents has been processed through the Secretary of State’s office, we’ll overnight the documents back to you for next business morning delivery.  We ship by FedEx unless you request otherwise.
